Terms

Terms for working together.

These terms apply to projects where BasedNode invoices a fixed price. If the agreement is something else — a revenue share, a partnership, a one-off evening — the written agreement we have made applies, not this page. If you need something written about a specific point, say so.

1. Scope

You get a written description of what the system is supposed to do before work begins. That description is the scope of the agreement. If the scope changes along the way, the price and the timeline change with it, in writing, before the new work starts. No work outside the agreed scope begins without a new written agreement.

2. Price and payment

The price is fixed and excludes VAT. It is stated in the quote together with the payment terms. For projects under 10,000 kr. excluding VAT, half is due when the agreement starts and half on delivery. Larger projects are split into several instalments, stated in the quote. Non-Danish customers are invoiced in euro or Danish kroner, depending on what was agreed.

3. Time

The timeline is an estimate, not a guarantee. The first working version normally lands within three weeks for a project of the size described in point 1. If you enter with a plan that depends on deliveries from you, the timeline and the price move accordingly.

4. What you get

The code, the documentation, and the system configuration. The documentation is written so it can be read by someone who has never seen the code. The system is delivered in your own accounts. I also recommend that you have somebody else review the system before handover — that is part of what makes a handover safe.

5. Operations and support

Where the quote says so, operations and monitoring are included for an agreed period — typically twelve months. That means I watch the system, fix faults that arise, and make sure security updates roll out. When the period ends, it can be extended, or you can take over operations. The system is built so you can.

6. What I do not cover

I do not cover third-party services you have chosen — their price, their operation and their faults are theirs. Nor do I cover a model provider changing its API or its pricing. Changes of that kind are normal, and they are handled as part of operations rather than as a fault in the delivery.

7. Confidentiality

What you tell me about your business, your figures and your customers is used to complete the task and nothing else. It is not public, it is not used in other projects, and it is not passed on. If you need a confidentiality agreement with a third party, we will write one.

8. Termination

You can stop the collaboration at any time. I invoice for the work done up to that date, and you take over everything built so far — including on an ongoing project. There is no exit fee and no lock-in.

9. Limitation of liability

My liability is limited to the amount you paid for the individual project. I am not liable for indirect loss, lost revenue or lost data unless it is caused by my negligence. The system must be used for what it was built for.

10. Law and rights

The agreement is governed by Danish law. If the written agreement and this page disagree, the written agreement applies. Last updated November 2026.
